Service Terms

The practical version

Devyou provides a month-to-month software engineering membership with one active milestone at a time. You own the custom work after payment. You can cancel before the next billing date. The complete terms below control the engagement.

1. Agreement and parties

These Service Terms, together with any written scope or order details we agree to, govern your purchase and use of the Devyou Software Team membership. "Devyou," "we," "us," and "our" mean Sabenico, LLC, operating the Devyou brand. "Customer," "you," and "your" mean the person or organization purchasing the membership.

By subscribing, you confirm that you can enter into this agreement for yourself or the organization you represent.

2. The membership

Devyou provides ongoing product strategy, software architecture, design, development, deployment, maintenance, and related technical services for custom web applications. The membership includes one active milestone at a time, an unlimited request queue, revisions within the agreed scope, and asynchronous collaboration through tools such as Trello and Loom.

Unlimited requests means that you may add and prioritize as many requests as you want in the queue. It does not mean unlimited simultaneous work, a guaranteed quantity of output, or a fixed completion date. Larger requests are divided into practical milestones.

3. How we work

We will work with you to define a useful first milestone and then progress through the queue in priority order. Delivery timing depends on complexity, the condition of any existing codebase, third-party dependencies, and the speed of your decisions and feedback. Any estimate is a good-faith forecast, not a guaranteed deadline, unless we expressly agree otherwise in writing.

Calls are available when a decision is easier to make live, but the normal working model is asynchronous.

4. Your responsibilities

You agree to provide accurate product context, timely decisions, access to relevant systems, and materials that we reasonably need to perform the services. You are responsible for reviewing releases, confirming business requirements, and making final decisions about your product, customers, content, and legal obligations.

You represent that you have the right to provide all code, data, content, credentials, trademarks, and other materials you give us.

5. Fees, renewal, and taxes

The membership costs $5,000 USD per month, plus any applicable taxes. Stripe charges the payment method you provide when you subscribe and on each monthly renewal date until cancellation. You authorize these recurring charges.

Hosting, domains, payment processing, email delivery, storage, monitoring, AI usage, and other third-party services are not included in the membership fee. Those services remain in your accounts and are billed directly to you unless we agree otherwise in writing.

6. Cancellation and initial refund

You may cancel at any time before the next billing date. Cancellation takes effect at the end of the current paid billing period. We do not provide prorated refunds or credits for unused time after implementation begins, except where required by law.

If we cannot agree on a useful first milestone within five business days after your initial purchase and implementation has not begun, you may request a full refund of the initial membership payment. This initial refund does not apply after you approve a milestone and implementation begins.

7. Ownership and licenses

After all applicable fees are paid, you own the custom source code, designs, documentation, and other deliverables created specifically for you during the engagement. Your domains, infrastructure, data, analytics, and third-party accounts remain under your control.

Devyou retains ownership of its pre-existing tools, templates, processes, general knowledge, and reusable components. If any Devyou-owned component is included in a deliverable, we grant you a perpetual, worldwide, royalty-free license to use it as part of your application. Open-source and third-party materials remain subject to their applicable licenses.

8. Confidentiality

Each party will use reasonable care to protect confidential information received from the other and will use it only for the engagement. Confidential information does not include information that is public through no breach of these terms, already lawfully known, independently developed, or lawfully received from another source.

We will not publicly identify you as a customer or display your work without your permission.

9. Third-party services

Your application may depend on services operated by other companies. Their terms, availability, security, prices, and product changes are outside our control. We will use reasonable care when recommending and integrating them, but we are not responsible for third-party outages, policy changes, or failures.

10. Acceptable use

You may not use the services to build or operate anything unlawful, fraudulent, abusive, infringing, or designed to compromise another system or person. We may pause or terminate work if continuing would create a material legal, security, or safety risk.

11. No guaranteed business outcome

We provide professional software services and will perform them with reasonable care and skill. We do not guarantee revenue, adoption, financing, search rankings, regulatory approval, uninterrupted operation, or any other business result.

12. Disclaimer

Except for the express commitments in these terms, the services and deliverables are provided as available. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data. Devyou's total liability arising from the engagement will not exceed the fees you paid to Devyou during the three months immediately before the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited.

14. Suspension and termination

Either party may terminate the engagement for a material breach that is not corrected within ten days after written notice. We may suspend work sooner when necessary to address nonpayment, unlawful activity, compromised credentials, or an urgent security risk. Upon termination, you remain responsible for fees already incurred, and we will provide the paid deliverables then in our possession.

15. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal action relating to these terms must be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

16. General provisions

Neither party may assign this agreement without the other's consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets. If any provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These terms and any written scope we agree to are the entire agreement about the membership and replace prior discussions about it.

17. Changes and contact

We may update these terms as the service evolves. Material changes will apply no earlier than your next renewal after notice, unless a change is required sooner by law.
